Trilogy Metals Closes $35.6M Department of War Investment

Trilogy Metals Inc. (NYSE American: TMQ; TSX: TMQ) reported on September 11, 2026 that it has closed the strategic equity investment from the U.S. Department of War (DOW) first announced on August 28, 2026. This confirms the transaction as final; the underlying deal structure, DOW’s roughly 10% resulting stake in Trilogy, board rights, and contingent milestone payments tied to the Delta and Helm Bay projects, was covered in that earlier release and has not changed.

Where the Money Is Going

The full US$35.6 million, split between a direct investment in Trilogy and a separate purchase of shares from joint venture partner South32, has been committed by both companies to Ambler Metals LLC, the 50/50 joint venture that holds the Upper Kobuk Mineral Projects (UKMP) in northwestern Alaska. The UKMP spans roughly 190,929 hectares and includes the Arctic volcanogenic massive sulfide deposit and the Bornite carbonate replacement deposit. Separately, the DOW has committed to work with the State of Alaska and the Alaska Industrial Development and Export Authority (AIDEA), which holds the project, to help facilitate financing for construction of the proposed 211-mile Ambler Road, an industrial-use-only road needed to access the district.

New Permitting Milestones

The closing release also flags two federal permitting developments not covered in the original announcement. In April 2026, Trilogy filed a Clean Water Act Section 404 permit application with the U.S. Army Corps of Engineers for the Arctic Project, the standard federal permit required for activities that would affect wetlands or waterways. Then, on May 15, 2026, the Arctic Project was accepted as a “Covered Project” under Title 41 of the Fixing America’s Surface Transportation Act, known as FAST-41, a federal program that gives major infrastructure projects coordinated oversight and a publicly tracked permitting timetable via the Federal Permitting Dashboard. Being accepted onto that dashboard creates transparency around the review process but does not itself guarantee approval or a specific timeline for final permits.

The Exact Numbers Behind South32’s Reduced Stake

Because the transaction reduced South32’s ownership in Trilogy by more than the threshold Canadian securities law tracks, the release includes a detailed early warning disclosure. Before closing, South32 held 18,595,311 Trilogy shares, about 10.7% of shares outstanding on a non-diluted basis. After closing, that fell to 10,379,741 shares, or approximately 6.0%. The cash portion of the transaction paid to South32, US$17,827,787, is equivalent to roughly C$24.7 million, or C$3.01 per share, based on the Bank of Canada’s daily average exchange rate on the closing date. South32 stated the shares were disposed of for investment purposes, and the DOW retains a 10-year option to purchase a further 6,161,678 shares from South32 at US$0.01 per share, an option South32 is obligated to honor if exercised. South32 also noted it may increase or decrease its remaining Trilogy position over time depending on market conditions.

Separately, Trilogy was named to the TSX30, a ranking of the Toronto Stock Exchange’s top-performing stocks, in a related release issued around the same time, reflecting the stock’s performance over the period covering this and other recent corporate developments.
